Terms and Conditions

These Terms and Conditions of Use (hereinafter “T&Cs”) set out the terms under which the company TEO, Touring Exhibitions Organisation, a simplified joint-stock company [société par actions simplifiée] registered in the Rennes Trade and Companies Register under number 843 169 400, with its registered office located at 2 allée des Nénuphars 35310 Bréal-sous-Montfort – France, (hereinafter “TEO”), allows the website www.teo-exhibitions.com (hereinafter “the Site”) to be used.

The Site acts as host and intermediary so as to allow Hosts, Producers and Suppliers to connect with one another with the aim of sharing information and fostering the development of new collaborations in the international touring exhibitions industry.

Article 1 – Definitions

• Host: means any physical or legal person that owns an exhibition gallery or exhibition space designed to accommodate Exhibitions produced by one or more Producers.
• Producer: means any physical or legal person that owns an Exhibition, or is duly authorised by the owner of an Exhibition, who wishes to propose said Exhibition for temporary hire to a Host to be publicly displayed in the Host’s exhibition space. Producers can be for-profit or non-profit organisations; the difference between the two is reflected in the rates referred to in the Annex.
• Exhibition: means a touring exhibition (including but not limited to art, contemporary art, popular culture, science, nature, history, civilisations, content, collections, displays, etc.) organised by one or more Producers and proposed for hire to Hosts to display in their exhibition space during a defined period of time.
• Exhibition display: means the display by a Host during a defined period of time, in a defined location, of an Exhibition hired from one or more Producer(s).
• Supplier: means any physical or legal person engaged in professional activity related to organising international touring exhibitions, including but not limited to logistics, art handling, insurance, venue hire, consultancy and research, production, project management and operations, show cases, design, art production, curatorial development, legal advice, AV and interactives, and displays.
• Open Visitor: means any person who accesses the Site, without being registered to it, who is able to access non-gated content, as referred to in the Annex.
• Member: means any Host, Producer or Supplier who has subscribed to one or more Site Services and is able to access specifically dedicated services for Host Members / Supplier Members / Producer Members, as referred to in the Annex.
• Personal Space: means the secure, personal page assigned to each Site Member, where a member can manage its personal dashboard according to its status as either a Host Member, Producer Member or Supplier Member.
• Data: means all information posted on the Site by a Member including, in particular, personal information, company and business activity information, photos, videos, graphics, texts, etc.
• Services: means the services available to Site Members, according to the terms of these T&Cs and in accordance with the description given in the Annex.
• Contract: means these Terms and Conditions of Use, which, once accepted by a Member upon registration to the Site, constitute a contractual agreement between the Member and the Company.
• Company: means the Company, TEO, as specified at the top of these T&Cs.

The terms and definitions of these T&Cs may be used in the singular or plural.

Article 2 – Acceptance of the Terms and Conditions of Use

By accessing the Site and/or registering to it using the procedure described below, the Member declares that it has read and agreed to these T&Cs. Furthermore, when registering to the Site, the Member is asked to tick the box “I agree to the Terms & Conditions”.

Should the Member refuse to comply, in full or in part, with the obligations contained in these T&Cs and/or to tick the abovementioned box during registration, said member shall not be able to access the Site Services.

The Company may revise or amend the T&Cs at any time and without prior notice in order to adapt them to changes made to the Site and its Services. Members shall not be entitled to request compensation or reimbursement due to the revision or modification of these T&Cs.

Failure by the Company to assert the rights and obligations arising from these T&Cs shall not be interpreted as constituting a waiver of them. The invalidity of one contractual clause does not imply the invalidity of these terms and conditions.

Article 3 – Access to the Site and membership subscriptions

 

• For Open Visitors, access to the Site is free of charge and does not require registration, subject to legal notices being complied with. Access to the Services is reserved for the Members below;
• For Hosts, access to the Services is free of charge, subject to being registered as a Host Member;
• For Producers, access to the Services requires registration as a Producer Member, under the pricing conditions provided by the Company;
• For Suppliers, access to the Services requires registration as a Supplier Member, under the pricing conditions provided by the Company;

Subject to the foregoing, and in order to make use of the Site Services, each Member must create a personal account, each with its own unique login and password.

The Member undertakes to keep its data confidential and to only register a single and unique user ID.

Registration to the Site allows Members to access a personal and confidential Space.

Registration requires mandatory personal information to be provided, which varies according to the Member’s status (as a Host, Producer or Supplier).

Whatever the Member’s status, a valid email address must be provided to validate the registration process. Members are given access to their Personal Space following account confirmation, which is performed by clicking on a link sent to their email address.

Members will be able to complete their profile and information from among the options offered.

The Member guarantees to the Company that the information it provided during registration is accurate, up-to-date and complete. The Member undertakes to update its information in its Personal Space should its situation change.

In the event that the Member provides false, inaccurate or incomplete data, or does not comply with one or more provisions of these T&Cs, the Company reserves the right to temporarily suspend the Member’s access to the Services and/or Personal Space, or, at its sole discretion, to permanently close the account of the Member in question without this granting said Member the right to compensation of any kind.

If the Company becomes aware of any threat to the security of the Services or the Data, it shall reset the Member’s login and password, and shall immediately inform the Member about this by email.

The Company shall not be held liable for any errors, omissions, or inaccuracies in the information provided by the Member.

The Member can, at any time, modify the Data in its Personal Space or delete its account and associated Data.

Article 4 – Services offered by the Site

The Site allows Producers, Hosts and Suppliers to connect and share information with one another under the conditions described below.

In their Personal Space, members can – depending on their member status – present their business, their Exhibitions, their services, and their conditions and details of how they do business.

Taking the Company’s approach into account, it is hereby specifically stated that:

• Hosts have access to the list of Producers and Suppliers and their profiles, and can enter into contact with Producers and Suppliers under the conditions specified in the Annex. A host may only be contacted once it has initiated a conversation with a Producer or a Supplier;

• Producers have access to the list of Suppliers and their profiles, and can enter into contact with them under the conditions specified in the Annex. A Producer may not contact a Host unless the Host has previously contacted them;

• Suppliers have access to the list of Producers and their profiles and may enter into contact with them under the conditions specified in the Annex. A Supplier may not contact a Host unless the Host has previously contacted them.

4.1 – Services offered to Hosts

The Site offers Hosts the Services listed in the Annex.

4.2 – Services offered to Producers

The Site offers Producers the Services listed in the Annex, based on the options chosen at the time of their subscription. A description of the Services is provided in the Annex.

4.3 – Services offered to Suppliers

The Site offers Suppliers the Services listed in the Annexe, based on the options chosen at the time of their subscription. A description of the Services is provided in the Annex.

Article 5 – Pay­ments

The cost of subscribing to the Services is specified in the Annex, on an annual basis excluding taxes, and is renewable automatically.

Members will receive an email from the Company thirty days prior to their contract anniversary date to inform them of the deadline for non-renewal and the procedure to follow should they not wish to renew their subscription. Members who do not wish to renew their subscription must visit their Personal Space before the contract anniversary date and follow the procedure by clicking on the heading “My Account”.

If the subscription is not terminated before the anniversary date, it will continue for a new annual period under the conditions applicable on the renewal date.

Payments are made directly on the Site, via the Stripe module for Credit Cards, or by bank transfer at the latest thirty days following receipt of the corresponding invoice, using the bank details that will be provided to the Member.

If a payment failure occurs during online payment, the Member will be notified by email so that it can remedy the situation as soon as possible. In case of difficulties, the Member should contact the Company as quickly as possible by sending an email to the address support@teo-exhibitions.com.

Any delay to or stoppage of payments in the course of the subscription shall result in access to the Personal Space and functionalities being blocked automatically until the situation has been rectified by the Member.

Article 6 – Obligations of the Member

The Member undertakes to use the Site and the Services fairly and in good faith, whilst complying with the legal and regulatory provisions in force. In this respect, the Member undertakes in particular:

• Not to reproduce, copy, exploit, distribute or adapt, in whole or in part, directly or indirectly, content of any kind that is published on the Site by another Member or by the Company, without its prior written authorisation;
• Not to reproduce, copy, exploit, distribute or adapt, in whole or in part, directly or indirectly, on the Site, any content that belongs to a third party;
• Generally, to respect the intellectual property rights of third parties, Members and the Company. The Member consequently declares that it owns all intellectual property rights associated with Data, content or messages of any kind it distributes or publishes on the Site;
• Not to distribute, or allow to be distributed, directly or indirectly, Data or content of a defamatory, insulting, obscene, offensive, violent, racist or xenophobic nature, and generally any content that would violate the regulations in force;
• Not to distribute in any form whatsoever, Data, information or content the effect and/or purpose of which is to disrupt or prevent the use of or normal access to the Site Services or to interrupt and/or slow down communications between Members;
• To use the Services in accordance with the purpose described in these T&Cs.

Should the Member fail to comply with some or all of its obligations, the Company may suspend or block, at its sole discretion, temporarily or permanently, the Member in question’s access to the Site, without this option entitling said Member to receive any form of compensation.

Should a Member violate a legal or regulatory provision, the Company reserves the right to take legal action against the Member in question on the legal basis that it considers appropriate.

Should any person bring legal action against the Company before an Authority or Court of any kind, and based on an act committed by a Member, the latter undertakes to hold the Company harmless against any financial or other penalty that could be imposed upon it, including legal costs and expenses, whether the action is voluntary or forced.

Article 7 – Liability

7.1. Liability of the Company

The Company shall use all technical resources required to ensure 24/7 access to and proper functioning of the Site and the Services.

However, taking into account internet-related limitations, the Company cannot exclude the possibility that access to and functioning of the Site and the Services may be temporarily interrupted, particularly in the event of force majeure, improper operation of the Member’s IT equipment, network failure, or even maintenance operations intended to improve the Site and the Services.

Consequently, the Company shall not be held liable for any interruption to the Services, it being understood that it shall use its best endeavours to limit any interruptions caused by its own actions.

The Company reserves the right, without giving notice or paying any compensation, to close the Site, temporarily or permanently, or to block access to one or more Services, in order to perform maintenance operations such as updates, operational changes, operations on servers, etc.

The Company reserves the right to make any modifications or improvements to the Site or Services that it considers useful or necessary for the Site and its Services to function properly.

The liability of the Company is limited to the provision of the Services described in these T&Cs, i.e. the establishing of contact and sharing of information between Members; Members are responsible for concluding contracts between one another without any monitoring, agreement or validation from the Site.

The Company shall not be liable for Member Data nor the quality or quantity thereof.

The Company and the Member are independent parties, each acting in its own name and for its own account. Consequently, the Company cannot, in particular, under any circumstances, be considered as an employee/employer or agent of a Member.

The Company shall not be held liable for any third-party website content that may be present on the Site in the form of hyperlinks.

The Company’s liability in relation to its Members is, in any event, limited to the maximum amount paid by the Member in question, to the exclusion of any other amount, subject to the Member obtaining a final decision from a Court.

Furthermore, the Company shall not be held liable:

• When it is impossible to access the Site due to the actions of the Member or its internet connection, or due to poor conditions of use of the Site by the Member. In addition, the Member acknowledges and accepts that the characteristics and constraints of the internet network do not guarantee the security, availability or integrity of data transmitted via this channel.
• For use by a Member of the Services and of the Site, and, particularly, dealings carried out from the Member’s Personal Space.
• For false, incomplete or erroneous information published by a Member on the Site.
• For any behaviour or action of a Member that violates the provisions of these T&Cs.
• For any direct or indirect commitments made by a Member to other Members, whatever their nature. This paragraph constitutes an essential provision of these T&Cs, from which there can be no derogation under any circumstances. It is reminded that the Site acts as an intermediary for establishing relationships between Hosts, Producers and Suppliers with the aim of sharing information and fostering the development of new collaborations in the international touring exhibitions industry. It is up to each Member who wishes to make a commitment with another Member (for example, provide a space, a Collection, a service, etc.) to propose the terms and conditions of their personal commitment to the latter under an independent contract binding the two Members. Members shall be exclusively responsible for concluding and implementing contracts they make between themselves, on their own initiative and under their exclusive liability, in accordance with the legal and regulatory provisions in force. The Company does not conclude contracts in the name of and/or on behalf of any Member; Members conclude contracts directly among themselves without the intervention of the Site. As a third party to any direct or indirect contractual relationship between Members, the Company shall not be held liable at any time for any commitment made by a Member, whatever its nature. Consequently, the Company declines any liability for the performance, poor performance or absence of performance of a commitment of any kind made by a Member. As the Company is not a party in any capacity to any contracts or agreements concluded between Members, the latter bear sole liability for any difficulties, complaints or disputes that may occur during the conclusion and/or performance of said contracts. Consequently, each Member holds the Company harmless from any direct or indirect consequences resulting, directly or indirectly, from the facilitation of the relationship or the conclusion and/or implementation of any such contract between Members.

 

7.2. Liability of the Member

The Member assumes sole liability for any direct or indirect harm that it may cause or experience due to imprecise, incomplete, and/or misleading information that it may provide, the consequences of which it assumes sole liability for.

The Member assumes sole liability for any direct or indirect harm that it may cause or experience due to commitments made to other Members.

The Member acknowledges that, as host, the Company does not carry out Data checks and that the Company has no general monitoring obligations in relation to Member Data and the content stored and distributed via the Site.

 

7.3. Relationships between Members and the Site

The Parties acknowledge and accept that their cooperation cannot under any circumstances be considered as establishing between them a de facto company, a holding company, or any other situation resulting in them having reciprocal representation or joint liability with regard to their respective creditors.

The Parties acknowledge and accept that they cannot under any circumstances enter into a commitment in the name of and/or on behalf of the other and that no hierarchical relationship exists between them.

In addition, each Party remains solely liable for its actions, remarks, commitments and services.

Article 8 – Intellectual property

8.1. Licence to use the Site

The Site is the property of the Company. The general structure of the Site as well as the various types of content it contains such as text, data, graphics, logos, images, audio and videos are owned by the Company, or by third parties who have authorised the Company to use them.

The Member is prohibited from infringing upon content of any kind that is present on the Site, in particular by reproducing, exploiting, adapting or publishing it, without prejudice to these T&Cs.

The Company grants Members a non-exclusive, personal and non-transferable licence authorising them to use the Site and the Services, strictly for personal use, in accordance with these T&Cs.

The Member consequently acknowledges that any other use of the Site and the Services is excluded from the scope of this licence and requires the Company’s prior written consent.

8.2. Licence to use Member Data

The Member assumes full liability for Data communicated in its Personal Space or on the Site. In particular, it bears sole liability for compliance with the intellectual property rights related to the content it communicates on the Site.

The Member grants the Company a licence to use the intellectual property rights associated with Data. This licence implies, in particular, the right for the Company to reproduce, represent, adapt, digitise and use the Data with a view to promoting the Services offered by the Site, on all media and in any manner whatsoever.

The sole purpose of this licence is to permit the distribution of Data via the Site, in accordance with the functionality and purpose thereof, as described in these T&Cs. This licence is granted free of charge, for the entire world and for the legal duration of the associated rights in question. The Member guarantees the Company that the information or content in question complies with regulations and does not infringe the rights of third parties.

By publishing information and/or content on the Site, the Member accepts that it is distributed on the Site and accessible to other Members.

In addition, the Member shall not copy, reproduce, or exploit the content of other Members for any purpose other than use of the Site Services.

If the Company becomes aware of any content of an unlawful nature provided by a Member, the Company reserves the right to delete the contentious content and to suspend, temporarily or permanently, access to the Site for the accountable Member.

8.3. Hyperlinks

The Site may contain hyperlinks to other websites. These links in no way indicate that the Company approves of their content and the Company therefore in no way assumes liability for such links.

Article 9 – Personal data

In accordance with Law No 78-17 of 6 January 1978 as amended by Law No 2018-493 of 20 June 2018 on the protection of personal data, and the General Data Protection Regulation (GDPR), the data controller responsible for collecting, processing and using personal data is the Company identified at the top of these T&Cs.

Article 10 – Disputes

These T&Cs are subject to French law.

Any dispute relating to the validity, interpretation, implementation or termination of these T&Cs and the possible consequences thereof shall be subject to the exclusive jurisdiction of the courts of the Rennes Court of Appeal, even in the event of summary proceedings, interlocutory claims, or the introduction of third parties or multiple defendants.

Les présentes Conditions Générales d’Utilisation (ci-après « CGU ») ont pour objet de définir les modalités selon lesquelles la société TEO Touring Expositions Organisation immatriculée au RCS de Rennes sous le numéro 843 169 400, ayant son siège social au 2 allée des nénuphars 35310 Bréal-sous-Montfort – France (ci-après «TEO ») met à disposition Teo internet www.teo-exhibitions.com (ci-après « Teo »).

Teo agit comme hébergeur et intermédiaire, afin de permettre la mise en relation des hôtes, producteurs et fournisseurs dans l’objectif d’encourager le partage d’informations et le développement de nouvelles collaborations dans le milieu des expositions itinérantes internationales.

Article 1 – Définitions

• Hôte : désigne toute personne physique ou morale disposant d’une exhibition gallery or exhibition space destiné à accueillir des Expositions produites par un ou plusieurs Producteurs.
• Producteur : désigne toute personne physique ou morale propriétaire d’une Exposition, ou dument mandatée par le propriétaire d’une Collection, souhaitant louer temporairement cette Exposition à un Hôte pour qu’il la présente à ses publics dans son lieu d’expositions. Les Producteurs peuvent être des organismes à but lucratif ou des organismes à but non lucratifs ; la distinction ayant une incidence sur les tarifs proposés en annexe.
• Exposition : refers to a or touring exhibition (Art, Contemporary Art, Popular Culture, Science, Nature, History, Civilisations, etc…) organisée par un ou plusieurs Producteurs et proposée à la location (proposed for hire) à des Hôte pour une présentation dans leur espace d’exposition pendant une période définie.
• Présentation d’exposition : désigne la présentation par l’Hôte pendant une période définie, dans un local défini, d’une Exposition louée auprès d’un ou plusieurs Producteur(s).
• Fournisseur : désigne toute personne physique ou morale exerçant une activité professionnelle en lien avec l’organisation of international touring exhibitions, including Logistics, Art handling, Insurance, Venue for hire, Consultancy and research, Production, Project Management and Operations, Show cases, Design, Art production, Curatorial development, Legal advice, AV and interactives, Displays.
• Visitor : désigne toute personne qui accède au Site, sans y être enregistrée, pouvant accéder aux non gated content, tels que mentionnés en Annexe.
• Membre : désigne tout Hôte, Producteur or Fournisseur ayant souscrit à un ou plusieurs Services du Site et pouvant accéder aux prestations spécifiquement dédiés : Hôte Membre / Fournisseur Membre / Producteur Membre, tels que mentionnés en Annexe.
• Espace personnel : désigne la page personnelle et sécurisée réservée à chaque Membre sur Teo, lui permettant de gérer son personnal dashboard, en fonction de son statut : Hôte Membre, Producteur Membre or Fournisseur Membre.
• Données : comprend toutes les informations mises en ligne sur Teo par un Membre. Sont notamment inclus les informations personnelles, informations sur l’organisation et ses activités, photos, vidéos, graphiques, textes, etc…
• Services : désigne les services accessibles aux Membres sur Teo, selon les termes des présentes CGU, et conformément à la description de l’Annexe.
• Contrat : désigne les présentes Conditions Générales d’Utilisation, qui, une fois acceptées par le Membre lors de son inscription sur Teo, constituent un accord contractuel entre le Membre et la Société.
• Société: désigne la société TEO telle que désignée en tête des présentes CGU.

Les termes et définitions des présentes CGU peuvent être employés au singulier comme au pluriel.

Article 2 – Acceptation des Conditions Générales d’Utilisation

En accédant au Site et/ou en s’enregistrant par la procédure ci-dessous décrite, le Membre déclare avoir lu et accepté les présentes CGU. En outre, lors de son inscription sur Teo, le Membre est invité à cocher la case « I agree to the Terms & Conditions ».

En cas de refus par un Membre de se conformer à tout ou partie des obligations contenues dans les présentes CGU et/ou de cocher la case mentionnée ci-dessus au moment de son inscription, il ne pourra avoir accès aux Services du Site.

La Société pourra réviser ou modifier les CGU à tout moment et sans préavis afin de les adapter à l’évolution du Site et à ses Services. La révision ou la modification des CGU ne peut faire l’objet d’aucune demande indemnitaire ou de remboursement de la part des Membres.

Aucune tolérance de la Société ne pourra être interprétée comme une renonciation aux droits et obligations résultant des présentes CGU. La nullité d’une clause contractuelle n’entraîne pas la nullité des présentes conditions.

Article 3 – Accès au Site et membership subsriptions:

• Pour les Visitor, l’accès au Site est gratuit et nécessite pas d’inscription, sous réserve du respect des mentions légales. L’accès aux Services est réservé aux Membres ci-dessous ;
• Pour les Hôte, l’accès aux Services est gratuit, sous réserve de leur inscription comme Hôte Membre ;
• Pour les Producteurs, l’accès aux Services nécessite une inscription comme Producteur Membre, dans les conditions tarifaires prévues par la Société ;
• Pour les Fournisseurs, l’accès aux Services nécessite une inscription comme Fournisseur Membre, dans les conditions tarifaires prévues par la Société ;

Sous réserve de ce qui précède, et afin de bénéficier des Services proposés par Teo, chaque Membre doit créer un compte qui lui est personnel, avec un identifiant et un mot de passe qui lui sont propres.

Le Membre s’engage à conserver ses données confidentielles et à ne s’inscrire que sous un seul et unique identifiant.

L’inscription d’un Membre sur Teo permet d’accéder à un Espace personnel et confidentiel.

En fonction de son statut (Hôte, Producteur, Fournisseur), l’inscription nécessite le renseignement d’informations personnelles obligatoires.

Quel que soit le statut du Membre, ce dernier devra fournir une adresse email valide afin de valider le processus d’inscription. Une fois la confirmation faite par l’envoi d’un lien sur son email, le Membre aura accès à son Espace personnel.

Le Membre pourra compléter son profil et ses informations, en fonction des options offertes.

Le Membre garantit à la Société que les informations transmises lors de l’inscription sont exactes, à jour et complètes. Le Membre s’engage à mettre à jour ses informations dans son Espace personnel, en cas de changement de sa situation.

Dans l’hypothèse où le Membre transmet des données fausses, inexactes, ou incomplètes, ou ne respecte pas une ou plusieurs dispositions des présentes CGU, la Société se réserve le droit de suspendre temporairement l’accès aux Services et/ou à l’Espace personnel du Membre, ou, à sa seule discrétion, de fermer de façon définitive le compte Membre concerné, sans que cela n’ouvre le droit à une quelconque indemnisation au profit du Membre concerné.

Si la Société a connaissance d’une menace sur la sécurité des Services ou des Données, elle procèdera à une réinitialisation des login et mot de passe concernés, et en informera sans délai le Membre par email.

La Société ne peut être tenue responsable des erreurs, omissions, ou imprécisions dans les informations transmises par le Membre.

Le Membre peut, à tout moment, modifier les Données sur son Espace personnel ou supprimer son compte et les Données attachées.

Arcticle 4 – Les Services proposés par Teo

Teo propose la mise en relation et le partage d’informations entre les Producteurs, Hôtes et Fournisseurs dans les conditions ci-après décrites.

L’Espace personnel permet, en fonction du statut du Membre, de présenter son activité, ses Expositions, ses services, et ses conditions et modalités.

Compte tenu de la démarche de la Société, il est notamment précisé que :

• Les Hôtes ont accès à la liste et au profil des Producteurs et des Fournisseurs, et peuvent entrer en contact avec ces derniers, dans les conditions prévues en Annexe. Les Hôtes ne peuvent être contactés que lorsqu’ils ont initié une conversation avec un Producteur ou un Fournisseur ;

• Les Producteurs ont accès à la liste et au profil des Fournisseurs, et peuvent entrer en contact avec ces derniers dans les conditions prévues en Annexe. Un Producteur ne peut pas contacter un Hôte, sauf si ce dernier l’a préalablement contacté ;

• Les Fournisseurs ont accès à la liste et au profil des Producteurs et peuvent entrer en contact avec ces derniers dans les conditions prévues en Annexe. Un Fournisseur ne peut pas contacter un Hôte, sauf si ce dernier l’a préalablement contacté ;

4.1 – Les services proposés aux Hôtes :

Teo propose aux Hôtes les Services listés en Annexe.

4.2 – Les services proposés aux Producteurs :

Teo propose aux Producteurs les Services listés en Annexe, selon la formule choisie au moment de sa souscription. Le descriptif des Services est indiqué en Annexe.

4.3 – Les services proposés aux Fournisseurs :

Teo propose aux Fournisseurs les Services listés en Annexe, selon la formule choisie au moment de sa souscription. Le descriptif des Services est indiqué en Annexe.

Article 5 – Paiements

Le coût de l’abonnement aux Services est indiqué en Annexe, sur une base annuelle hors taxes, et renouvelable par tacite reconduction.

Trente jours avant la date d’anniversaire de son abonnement, le Membre reçoit un email de la Société pour l’informer de la date limite de non-reconduction et de la procédure à suivre s’il ne souhaite pas le renouveler. Si le Membre ne souhaite pas renouveler son abonnement, il doit, avant la date d’anniversaire de son contrat, se rendre dans son Espace personnel et suivre la procédure en cliquant sur la rubrique « mon compte »

A défaut de résolution de son abonnement avant la date anniversaire, l’abonnement se poursuit pour une nouvelle période annuelle, dans les conditions applicable à la date de renouvellement.

Les paiements s’effectueront directement sur Teo, via le module Stripe, ou par virement bancaire au plus tard trente jours après réception de la facture correspondante, aux coordonnées bancaires qui seront indiquées au Membre.

En cas d’échec de paiement lors du paiement en ligne, un email sera adressée par email au Membre afin qu’il puisse remédier à la situation dans les plus brefs délais. En cas de difficultés, le Membre est invité à prendre contact au plus vite avec la Société en envoyant un email à l’adresse support@teo-exhibitions.com.

Tout retard ou arrêt des paiements en cours d’abonnement entrainera un blocage automatique des fonctionnalités et de l’accès à l’Espace personnel jusqu’à régularisation de la situation du Membre.

Article 6 – Les obligations du Membre

Le Membre s’engage à utiliser Teo et les Services loyalement et de bonne foi, et dans le respect des dispositions légales et réglementaires en vigueur. A cet égard, le Membre s’engage notamment à :

• Ne pas reproduire, recopier, exploiter, diffuser ou adapter, en tout ou partie, directement ou indirectement, un contenu quel qu’il soit publié sur Teo par un autre Membre ou par la Société, sans son autorisation préalable et écrite,
• Ne pas reproduire, recopier, exploiter, diffuser ou adapter, en tout ou partie, directement ou indirectement, sur Teo, un contenu quel qu’il soit appartenant à un tiers,
• De façon plus générale, à respecter les droits de propriété intellectuelle des tiers, des Membre et de la Société. Le Membre déclare par conséquent être le propriétaire de tous les droits de propriété intellectuelle afférents aux Données, contenus ou messages de toute nature transmis ou publiés sur Teo,
• Ne pas diffuser, ou permettre de diffuser, directement ou indirectement, des Données ou contenus à caractère diffamatoire, injurieux, obscène, offensant, violent, raciste ou xénophobe, et de manière générale tout contenu qui serait contraire à la réglementation en vigueur.
• Ne pas diffuser sous quelque forme que ce soit, des Données, informations ou contenus ayant pour effet et/ou objet de désorganiser ou d’empêcher l’utilisation ou l’accès normal des Services du Site ou d’interrompre et/ou ralentir les communications entre les Membres.
• Faire un usage des Services conformément à la finalité décrite dans les présentes CGU.

En cas de non-respect de tout ou partie de ces obligations, la Société peut suspendre ou bloquer, à sa seule discrétion, de manière provisoire ou permanente, l’accès du Site au Membre concerné, sans que cette faculté n’ouvre droit à une quelconque indemnisation au profit dudit Membre.

En cas de violation d’une disposition légale ou réglementaire par un Membre, la Société se réserve le droit d’agir en justice contre le Membre concerné, sur les fondements juridiques qu’elle estimera opportun.

En cas d’action judiciaire de toute personne, devant une Autorité ou un Juridiction quelle qu’elle soit, visant la Société, et fondée sur un fait commis par un Membre, ce dernier s’engage à garantir la Société contre toute condamnation pécuniaire ou autre pouvant être prononcée à son encontre, incluant les frais de justice et les dépens, que ce soit dans le cadre d’une intervention volontaire, ou d’une intervention forcée.

Responsabilité

7.1. Responsabilité de la Société :

La Société met en œuvre tous les moyens techniques nécessaires permettant d’assurer l’accès et le bon fonctionnement du Site et des Services 24 heures sur 24, 7 jours sur 7.

Toutefois, et compte tenu des limites liées à internet, la Société ne peut exclure que l’accès et le fonctionnement du Site et des Services soient temporairement interrompus notamment en cas de force majeure, de mauvais fonctionnement du matériel informatique du Membre, de dysfonctionnements du réseau, ou encore d’opérations de maintenance destinées à améliorer Teo et les Services.

Par conséquent, la Société ne peut être tenue responsable d’une interruption des Services, étant précisé qu’elle s’engage à faire ses meilleurs efforts pour limiter les interruptions qui seraient de son fait.

La Société se réserve le droit, sans préavis ni indemnité, de fermer temporairement ou définitivement Teo, ou l’accès à un ou plusieurs Services, et ce pour effectuer des opérations de maintenance telles que : mise à jour, changement opérationnel, opération sur serveurs etc….

La Société se réserve le droit d’apporter au Site et aux Services toutes les modifications et améliorations qu’elle jugera utiles ou nécessaires dans le cadre du bon fonctionnement du Site et de ses Services.

La responsabilité de la Société est limitée à la fourniture des Services décrits dans les présentes CGU, c’est-à-dire la mise en relation et le partage d’informations entre les Membre; à charge pour ces derniers de contractualiser leur relation en dehors de tout contrôle, accord ou validation du Site.

La Société n’est pas responsable des Données des Membre ni de leur qualité ou quantité.

La Société et le Membre sont des parties indépendantes, chacun agissant en son nom personnel et pour leur propre compte. Par conséquent, la Société ne peut en aucun cas être considérée notamment comme employé/employeur ou mandataire d’un Membre.

La Société ne peut être tenu responsable du contenu des sites Internet tiers qui peuvent être présents sous forme de liens hypertextes sur Teo.

La responsabilité de la Société vis-à-vis de ses Membre est, en tout état de cause, limitée au montant maximum des sommes versées par le Membre en question, à l’exclusion de toute autre somme, sous réserve de l’obtention par le Membre d’une décision d’une Juridiction devenue définitive.

Par ailleurs, la Société décline toute responsabilité :

• En cas d’impossibilité d’accès au Site du fait du Membre ou de sa connexion à internet, ou de mauvaises conditions d’utilisation du Site par le Membre. Le Membre reconnait en outre que les caractéristiques et les contraintes du réseau internet ne permettent pas de garantir la sécurité, la disponibilité et l’intégrité des transmissions de données par ce canal.

• De l’utilisation faite par un Membre des Services et du Site, et notamment des opérations réalisées à partir de son Espace.

• D’informations fausses, incomplètes ou erronées, publiées par un Membre sur Teo.

• De tout comportement ou action d’un Membre qui ne serait pas conforme aux dispositions des présentes CGU.

• Du fait des engagements directs ou indirects pris par un Membre, quels qu’ils soient, vis-à-vis des autres Membre. Le présent paragraphe constitue une disposition essentielle des présentes CGU, à laquelle il ne peut être dérogé en aucune façon. Il est rappelé que Teo agit comme intermédiaire pour la mise en relation des Hôtes, Producteurs and Fournisseurs with the aim of sharing information and fostering the development of new collaborations in the international touring exhibitions industry. Il appartient à chaque Membre qui souhaite s’engager vis-à-vis d’un autre Membre (par exemple mise à disposition d’un local, d’une Collection, fourniture de services, etc…) de proposer à ce dernier les conditions et modalités de son engagement personnel, dans le cadre d’un contrat indépendant liant les deux Membre. Les Membre sont seuls responsables de la conclusion et de l’exécution des contrats qu’ils concluent entre eux, de leur propre initiative et sous leur responsabilité exclusive, en application des dispositions légales et réglementaires en vigueur. La Société ne conclut aucun contrat au nom et/ou pour le compte d’un Membre; ces derniers contractant directement entre eux sans intervention du Site. La Société étant tierce partie à toute relation contractuelle directe ou indirecte entre les Membre, sa responsabilité ne pourra être, à aucun moment, engagée du fait d’un engagement pris par un Membre, quel qu’il soit. La Société décline par conséquent toute responsabilité du fait d’une exécution, mauvaise exécution ou absence d’exécution d’un engagement pris quel qu’il soit par un Membre. La Société n’étant pas partie à quelque titre que ce soit aux contrats ou conventions conclus entre les Membre, ces derniers sont seuls responsables des difficultés, réclamations et litiges pouvant intervenir lors de la conclusion et/ou de l’exécution desdits contrats. En conséquence, chaque Membre dégage la Société de toute responsabilité quant aux conséquences directes ou indirectes résultant de manière directe ou indirecte de la mise en relation, de la conclusion et/ou de l’exécution d’un tel contrat entre Membre.

7.2. Responsabilité du Membre :

Le Membre est seul responsable du préjudice direct ou indirect qu’il est susceptible de causer ou de subir du fait d’informations inexactes, incomplètes, et/ ou trompeuses qu’il fournirait, ce dont il assume seul les conséquences.

Le Membre est seul responsable du préjudice direct ou indirect qu’il est susceptible de causer ou de subir du fait des engagements pris à l’égard des autres Membre.

Le Membre reconnait que la Société, en tant qu’hébergeur, ne procède à aucun contrôle sur les Données et que la Société n’a pas d’obligation générale de surveillance des Données et contenus des Membre stockés et diffusés via Teo.

7.3. Relations entre les Membre et Teo :

Les Parties reconnaissent et acceptent que leur collaboration ne pourra en aucun cas être considérée comme établissant entre elles une société de fait, une société en participation ou toute autre situation entraînant entre elles une quelconque représentation réciproque ou solidarité à l’égard de leurs créanciers respectifs.

Les Parties reconnaissent et acceptent qu’elles ne pourront en aucun cas prendre un engagement au nom et/ou pour le compte l’une de l’autre et qu’il n’existe aucun lien de subordination.

En outre, chaque Partie demeure seule responsable de ses actes, propos, engagements et prestations.

Article 8 – Propriété intellectuelle

8.1. Licence d’utilisation du Site :

Teo est la propriété de la Société. La structure générale du Site ainsi que les différents contenus tels que les textes, données, graphiques, logos, images, sons et vidéos sont la propriété de la Société, ou de tiers ayant donné leur autorisation à la Société.

Le Membre s’interdit de porter atteinte, notamment en reproduisant, exploitant, adaptant, publiant, les contenus quels qu’ils soient, présents sur Teo, sans préjudice des présentes CGU.

La Société accorde aux Membre une licence non exclusive, personnelle et non transférable les autorisant à utiliser Teo et les Services, pour un usage strictement personnel, conformément aux présentes CGU.

Le Membre reconnait en conséquence que toute autre exploitation du Site et des Services est exclue du domaine de la présente licence et ne pourra être réalisée qu’après avoir obtenu l’accord préalable et écrit de la Société.

8.2. Licence d’utilisateur des Données sur les Membres :

Le Membre assume l’entière responsabilité des Données communiquées dans son Espace personnel ou sur Teo. Il est notamment seul responsable du respect des droits de propriété des contenus qu’il communique sur Teo.

Le Membre concède à la Société une licence d’utilisation des droits de propriété intellectuelle attachés aux Données. Cette licence implique notamment le droit pour la Société de reproduire, représenter, adapter, numériser et utiliser les Données dans l’optique de promouvoir les Services proposés par Teo, sur tous supports et de quelque manière que ce soit.

Cette licence a pour seul objet de permettre la diffusion des Données via Teo, conformément à leurs fonctionnalités et leur finalité, telle que décrites aux présentes CGU. Cette licence est consentie à titre gracieux, pour le monde entier et pour la durée légale des droits afférents aux contenus en cause. Le Membre garantit la Société que les informations ou contenus en cause sont conformes à la réglementation et ne portent pas atteinte aux droits de tiers.

En publiant des informations et/ou contenus sur Teo, le Membre accepte qu’ils soient diffusés sur Teo et accessibles aux autres Membre.

Par ailleurs, le Membre s’interdit de copier, reproduire, ou exploiter les contenus des autres Membre pour un objet autre que l’utilisation des Services du Site.

Dans l’hypothèse où la Société a connaissance du caractère illicite de contenus fournis par un Membre, la Société se réserve le droit de procéder à la suppression du contenu litigieux et de suspendre provisoirement ou de manière permanente l’accès au Site par le Membre responsable.

7.3. Liens Hypertextes :

Teo peut contenir des liens hypertextes vers d’autres sites. Ces liens ne signifient en aucune manière que la Société approuve leurs contenus, et ces liens ne peuvent donc engager la responsabilité de la Société.

Article 9 – Données personnelles

Conformément à la loi n° 78-17 du 6 janvier 1978 modifiée par la loi n° 2018-493 du 20 juin 2018 relative à la protection des données personnelles, et au Règlement Général de l’Union Européenne sur la Protection des Données (RGPD), le responsable de la collecte, du traitement et de l’utilisation des données personnelles est la Société identifiée en tête des présentes CGU.

Pour toute question concernant la protection des données personnelles traitées par notre Société, veuillez consulter la politique de confidentialité.

Article 10 – Litiges

Les présentes CGU sont soumises au droit Français.

Tout litige relatif à la validité, l’interprétation, l’exécution ou la résolution des présentes CGU et leurs suites éventuelles sera soumise à la compétence exclusive des juridictions du ressort de la Cour d’appel de Rennes, même en cas de référé, demande incidentes, d’appel en garantie ou de pluralité des défendeurs.
