Terms and Conditions

These Terms and Conditions of Use (hereinafter “T&Cs”) set out the terms under which the company TEO, Touring Exhibitions Organisation, a simplified joint-stock company [société par actions simplifiée] registered in the Rennes Trade and Companies Register under number 843 169 400, with its registered office located at 2 allée des Nénuphars 35310 Bréal-sous-Montfort – France, (hereinafter “TEO”), allows the website www.teo-exhibitions.com (hereinafter “the Site”) to be used.

The Site acts as host and intermediary so as to allow Hosts, Producers and Suppliers to connect with one another with the aim of sharing information and fostering the development of new collaborations in the international touring exhibitions industry.

Article 1 – Definitions

  • Host: means any physical or legal person that owns an exhibition gallery or exhibition space designed to accommodate Exhibitions produced by one or more Producers.
  • Producer: means any physical or legal person that owns an Exhibition, or is duly authorised by the owner of an Exhibition, who wishes to propose said Exhibition for temporary hire to a Host to be publicly displayed in the Host’s exhibition space. Producers can be for-profit or non-profit organisations; the difference between the two is reflected in the rates referred to in the Annex.
  • Exhibition: means a touring exhibition (including but not limited to art, contemporary art, popular culture, science, nature, history, civilisations, content, collections, displays, etc.) organised by one or more Producers and proposed for hire to Hosts to display in their exhibition space during a defined period of time.
  • Exhibition display: means the display by a Host during a defined period of time, in a defined location, of an Exhibition hired from one or more Producer(s).
  • Supplier: means any physical or legal person engaged in professional activity related to organising international touring exhibitions, including but not limited to logistics, art handling, insurance, venue hire, consultancy and research, production, project management and operations, show cases, design, art production, curatorial development, legal advice, AV and interactives, and displays.
  • Open Visitor: means any person who accesses the Site, without being registered to it, who is able to access non-gated content, as referred to in the Annex.
  • Member: means any Host, Producer or Supplier who has subscribed to one or more Site Services and is able to access specifically dedicated services for Host Members / Supplier Members / Producer Members, as referred to in the Annex.
  • Personal Space: means the secure, personal page assigned to each Site Member, where a member can manage its personal dashboard according to its status as either a Host Member, Producer Member or Supplier Member.
  • Data: means all information posted on the Site by a Member including, in particular, personal information, company and business activity information, photos, videos, graphics, texts, etc.
  • Services: means the services available to Site Members, according to the terms of these T&Cs and in accordance with the description given in the Annex.
  • Contract: means these Terms and Conditions of Use, which, once accepted by a Member upon registration to the Site, constitute a contractual agreement between the Member and the Company.
  • Company: means the Company, TEO, as specified at the top of these T&Cs.

The terms and definitions of these T&Cs may be used in the singular or plural.

Article 2 – Acceptance of the Terms and Conditions of Use

By accessing the Site and/or registering to it using the procedure described below, the Member declares that it has read and agreed to these T&Cs. Furthermore, when registering to the Site, the Member is asked to tick the box “I agree to the Terms & Conditions”.

Should the Member refuse to comply, in full or in part, with the obligations contained in these T&Cs and/or to tick the abovementioned box during registration, said member shall not be able to access the Site Services.

The Company may revise or amend the T&Cs at any time and without prior notice in order to adapt them to changes made to the Site and its Services. Members shall not be entitled to request compensation or reimbursement due to the revision or modification of these T&Cs.

Failure by the Company to assert the rights and obligations arising from these T&Cs shall not be interpreted as constituting a waiver of them. The invalidity of one contractual clause does not imply the invalidity of these terms and conditions.

Article 3 – Access to the Site and membership subscriptions

 

  • For Open Visitors, access to the Site is free of charge and does not require registration, subject to legal notices being complied with. Access to the Services is reserved for the Members below;
  • For Hosts, access to the Services is free of charge, subject to being registered as a Host Member;
  • For Producers, access to the Services requires registration as a Producer Member, under the pricing conditions provided by the Company;
  • For Suppliers, access to the Services requires registration as a Supplier Member, under the pricing conditions provided by the Company;

Subject to the foregoing, and in order to make use of the Site Services, each Member must create a personal account, each with its own unique login and password.

The Member undertakes to keep its data confidential and to only register a single and unique user ID.

Registration to the Site allows Members to access a personal and confidential Space.

Registration requires mandatory personal information to be provided, which varies according to the Member’s status (as a Host, Producer or Supplier).

Whatever the Member’s status, a valid email address must be provided to validate the registration process. Members are given access to their Personal Space following account confirmation, which is performed by clicking on a link sent to their email address.

Members will be able to complete their profile and information from among the options offered.

The Member guarantees to the Company that the information it provided during registration is accurate, up-to-date and complete. The Member undertakes to update its information in its Personal Space should its situation change.

In the event that the Member provides false, inaccurate or incomplete data, or does not comply with one or more provisions of these T&Cs, the Company reserves the right to temporarily suspend the Member’s access to the Services and/or Personal Space, or, at its sole discretion, to permanently close the account of the Member in question without this granting said Member the right to compensation of any kind.

If the Company becomes aware of any threat to the security of the Services or the Data, it shall reset the Member’s login and password, and shall immediately inform the Member about this by email.

The Company shall not be held liable for any errors, omissions, or inaccuracies in the information provided by the Member.

The Member can, at any time, modify the Data in its Personal Space or delete its account and associated Data.

Article 4 – Services offered by the Site

The Site allows Producers, Hosts and Suppliers to connect and share information with one another under the conditions described below.

In their Personal Space, members can – depending on their member status – present their business, their Exhibitions, their services, and their conditions and details of how they do business.

Taking the Company’s approach into account, it is hereby specifically stated that:

  • Hosts have access to the list of Producers and Suppliers and their profiles, and can enter into contact with Producers and Suppliers under the conditions specified in the Annex. A host may only be contacted once it has initiated a conversation with a Producer or a Supplier;
  • Producers have access to the list of Suppliers and their profiles, and can enter into contact with them under the conditions specified in the Annex. A Producer may not contact a Host unless the Host has previously contacted them;
  • Suppliers have access to the list of Producers and their profiles and may enter into contact with them under the conditions specified in the Annex. A Supplier may not contact a Host unless the Host has previously contacted them.

4.1 – Services offered to Hosts

The Site offers Hosts the Services listed in the Annex.

4.2 – Services offered to Producers

The Site offers Producers the Services listed in the Annex, based on the options chosen at the time of their subscription. A description of the Services is provided in the Annex.

4.3 – Services offered to Suppliers

The Site offers Suppliers the Services listed in the Annexe, based on the options chosen at the time of their subscription. A description of the Services is provided in the Annex.

Article 5 – Pay­ments

The cost of subscribing to the Services is specified in the Annex, on an annual basis excluding taxes, and is renewable automatically.

Members will receive an email from the Company thirty days prior to their contract anniversary date to inform them of the deadline for non-renewal and the procedure to follow should they not wish to renew their subscription. Members who do not wish to renew their subscription must visit their Personal Space before the contract anniversary date and follow the procedure by clicking on the heading “My Account”.

If the subscription is not terminated before the anniversary date, it will continue for a new annual period under the conditions applicable on the renewal date.

Payments are made directly on the Site, via the Stripe module for Credit Cards, or by bank transfer at the latest thirty days following receipt of the corresponding invoice, using the bank details that will be provided to the Member.

If a payment failure occurs during online payment, the Member will be notified by email so that it can remedy the situation as soon as possible. In case of difficulties, the Member should contact the Company as quickly as possible by sending an email to the address support@teo-exhibitions.com.

Any delay to or stoppage of payments in the course of the subscription shall result in access to the Personal Space and functionalities being blocked automatically until the situation has been rectified by the Member.

Article 6 – Obligations of the Member

The Member undertakes to use the Site and the Services fairly and in good faith, whilst complying with the legal and regulatory provisions in force. In this respect, the Member undertakes in particular:

  • Not to reproduce, copy, exploit, distribute or adapt, in whole or in part, directly or indirectly, content of any kind that is published on the Site by another Member or by the Company, without its prior written authorisation;
  • Not to reproduce, copy, exploit, distribute or adapt, in whole or in part, directly or indirectly, on the Site, any content that belongs to a third party;
  • Generally, to respect the intellectual property rights of third parties, Members and the Company. The Member consequently declares that it owns all intellectual property rights associated with Data, content or messages of any kind it distributes or publishes on the Site;
  • Not to distribute, or allow to be distributed, directly or indirectly, Data or content of a defamatory, insulting, obscene, offensive, violent, racist or xenophobic nature, and generally any content that would violate the regulations in force;
  • Not to distribute in any form whatsoever, Data, information or content the effect and/or purpose of which is to disrupt or prevent the use of or normal access to the Site Services or to interrupt and/or slow down communications between Members;
  • To use the Services in accordance with the purpose described in these T&Cs.

Should the Member fail to comply with some or all of its obligations, the Company may suspend or block, at its sole discretion, temporarily or permanently, the Member in question’s access to the Site, without this option entitling said Member to receive any form of compensation.

Should a Member violate a legal or regulatory provision, the Company reserves the right to take legal action against the Member in question on the legal basis that it considers appropriate.

Should any person bring legal action against the Company before an Authority or Court of any kind, and based on an act committed by a Member, the latter undertakes to hold the Company harmless against any financial or other penalty that could be imposed upon it, including legal costs and expenses, whether the action is voluntary or forced.

Article 7 – Liability

7.1. Liability of the Company

The Company shall use all technical resources required to ensure 24/7 access to and proper functioning of the Site and the Services.

However, taking into account internet-related limitations, the Company cannot exclude the possibility that access to and functioning of the Site and the Services may be temporarily interrupted, particularly in the event of force majeure, improper operation of the Member’s IT equipment, network failure, or even maintenance operations intended to improve the Site and the Services.

Consequently, the Company shall not be held liable for any interruption to the Services, it being understood that it shall use its best endeavours to limit any interruptions caused by its own actions.

The Company reserves the right, without giving notice or paying any compensation, to close the Site, temporarily or permanently, or to block access to one or more Services, in order to perform maintenance operations such as updates, operational changes, operations on servers, etc.

The Company reserves the right to make any modifications or improvements to the Site or Services that it considers useful or necessary for the Site and its Services to function properly.

The liability of the Company is limited to the provision of the Services described in these T&Cs, i.e. the establishing of contact and sharing of information between Members; Members are responsible for concluding contracts between one another without any monitoring, agreement or validation from the Site.

The Company shall not be liable for Member Data nor the quality or quantity thereof.

The Company and the Member are independent parties, each acting in its own name and for its own account. Consequently, the Company cannot, in particular, under any circumstances, be considered as an employee/employer or agent of a Member.

The Company shall not be held liable for any third-party website content that may be present on the Site in the form of hyperlinks.

The Company’s liability in relation to its Members is, in any event, limited to the maximum amount paid by the Member in question, to the exclusion of any other amount, subject to the Member obtaining a final decision from a Court.

Furthermore, the Company shall not be held liable:

  • When it is impossible to access the Site due to the actions of the Member or its internet connection, or due to poor conditions of use of the Site by the Member. In addition, the Member acknowledges and accepts that the characteristics and constraints of the internet network do not guarantee the security, availability or integrity of data transmitted via this channel.
  • For use by a Member of the Services and of the Site, and, particularly, dealings carried out from the Member’s Personal Space.
  • For false, incomplete or erroneous information published by a Member on the Site.
  • For any behaviour or action of a Member that violates the provisions of these T&Cs.
  • For any direct or indirect commitments made by a Member to other Members, whatever their nature. This paragraph constitutes an essential provision of these T&Cs, from which there can be no derogation under any circumstances. It is reminded that the Site acts as an intermediary for establishing relationships between Hosts, Producers and Suppliers with the aim of sharing information and fostering the development of new collaborations in the international touring exhibitions industry. It is up to each Member who wishes to make a commitment with another Member (for example, provide a space, a Collection, a service, etc.) to propose the terms and conditions of their personal commitment to the latter under an independent contract binding the two Members. Members shall be exclusively responsible for concluding and implementing contracts they make between themselves, on their own initiative and under their exclusive liability, in accordance with the legal and regulatory provisions in force. The Company does not conclude contracts in the name of and/or on behalf of any Member; Members conclude contracts directly among themselves without the intervention of the Site. As a third party to any direct or indirect contractual relationship between Members, the Company shall not be held liable at any time for any commitment made by a Member, whatever its nature. Consequently, the Company declines any liability for the performance, poor performance or absence of performance of a commitment of any kind made by a Member. As the Company is not a party in any capacity to any contracts or agreements concluded between Members, the latter bear sole liability for any difficulties, complaints or disputes that may occur during the conclusion and/or performance of said contracts. Consequently, each Member holds the Company harmless from any direct or indirect consequences resulting, directly or indirectly, from the facilitation of the relationship or the conclusion and/or implementation of any such contract between Members.

 

7.2. Liability of the Member

The Member assumes sole liability for any direct or indirect harm that it may cause or experience due to imprecise, incomplete, and/or misleading information that it may provide, the consequences of which it assumes sole liability for.

The Member assumes sole liability for any direct or indirect harm that it may cause or experience due to commitments made to other Members.

The Member acknowledges that, as host, the Company does not carry out Data checks and that the Company has no general monitoring obligations in relation to Member Data and the content stored and distributed via the Site.

 

7.3. Relationships between Members and the Site

The Parties acknowledge and accept that their cooperation cannot under any circumstances be considered as establishing between them a de facto company, a holding company, or any other situation resulting in them having reciprocal representation or joint liability with regard to their respective creditors.

The Parties acknowledge and accept that they cannot under any circumstances enter into a commitment in the name of and/or on behalf of the other and that no hierarchical relationship exists between them.

In addition, each Party remains solely liable for its actions, remarks, commitments and services.

Article 8 – Intellectual property

8.1. Licence to use the Site

The Site is the property of the Company. The general structure of the Site as well as the various types of content it contains such as text, data, graphics, logos, images, audio and videos are owned by the Company, or by third parties who have authorised the Company to use them.

The Member is prohibited from infringing upon content of any kind that is present on the Site, in particular by reproducing, exploiting, adapting or publishing it, without prejudice to these T&Cs.

The Company grants Members a non-exclusive, personal and non-transferable licence authorising them to use the Site and the Services, strictly for personal use, in accordance with these T&Cs.

The Member consequently acknowledges that any other use of the Site and the Services is excluded from the scope of this licence and requires the Company’s prior written consent.

8.2. Licence to use Member Data

The Member assumes full liability for Data communicated in its Personal Space or on the Site. In particular, it bears sole liability for compliance with the intellectual property rights related to the content it communicates on the Site.

The Member grants the Company a licence to use the intellectual property rights associated with Data. This licence implies, in particular, the right for the Company to reproduce, represent, adapt, digitise and use the Data with a view to promoting the Services offered by the Site, on all media and in any manner whatsoever.

The sole purpose of this licence is to permit the distribution of Data via the Site, in accordance with the functionality and purpose thereof, as described in these T&Cs. This licence is granted free of charge, for the entire world and for the legal duration of the associated rights in question. The Member guarantees the Company that the information or content in question complies with regulations and does not infringe the rights of third parties.

By publishing information and/or content on the Site, the Member accepts that it is distributed on the Site and accessible to other Members.

In addition, the Member shall not copy, reproduce, or exploit the content of other Members for any purpose other than use of the Site Services.

If the Company becomes aware of any content of an unlawful nature provided by a Member, the Company reserves the right to delete the contentious content and to suspend, temporarily or permanently, access to the Site for the accountable Member.

8.3. Hyperlinks

The Site may contain hyperlinks to other websites. These links in no way indicate that the Company approves of their content and the Company therefore in no way assumes liability for such links.

Article 9 – Personal data

In accordance with Law No 78-17 of 6 January 1978 as amended by Law No 2018-493 of 20 June 2018 on the protection of personal data, and the General Data Protection Regulation (GDPR), the data controller responsible for collecting, processing and using personal data is the Company identified at the top of these T&Cs.

Article 10 – Disputes

These T&Cs are subject to French law.

Any dispute relating to the validity, interpretation, implementation or termination of these T&Cs and the possible consequences thereof shall be subject to the exclusive jurisdiction of the courts of the Rennes Court of Appeal, even in the event of summary proceedings, interlocutory claims, or the introduction of third parties or multiple defendants.
